DaimlerChrysler Securities Litigation

The DaimlerChrysler AG Securities Litigation applies to all persons or entities who are not Foreign Investors ("Foreign Investors" are Persons who purchased or acquired their shares of Chrysler and/or DaimlerChrysler on or through a securities exchange not based in the United States, unless such Person is a citizen or a resident of the United States), and who exchanged shares of Chrysler Corporation for shares of DaimlerChrysler AG in connection with the November 1998 business combination of Chrysler Corporation and Daimler-Benz AG or who purchased or acquired shares of DaimlerChrysler AG in the open market from November 13, 1998 through November 17, 2000 (the "Class Period").

If you are a Class Member, you ultimately may be entitled to receive benefits pursuant to the proposed Settlement. The proposed Settlement for the Class is a cash payment of $300,000,000 United States Dollars (the "Settlement Amount").

Summary of the Settlement

The Second Amended Class Action (the "Complaint") alleges that all Defendants violated the federal securities laws by issuing the allegedly materially false and misleading Proxy/Prospectus. The Complaint further alleges that Defendants violated the federal securities laws as a result of their responsibility for other publicly disseminated documents alleged to have perpetuated the misrepresentation that the Merger was a "merger of equals".

The Defendants have denied and continue to deny that they have committed or attempted to commit any wrongful act or violation of law, and contend that they have acted properly and lawfully at all times.

Proof required for claim:

  1. Documentation of all shares exchanged in conjunction with the merger.
  2. Shares purchased between 11/13/98 through 11/17/00.
  3. Shares sold between 11/13/98 through 2/15/01.
  4. Documentation includes:
    1. Photocopies of brokers confirmation slips
    2. Copies of brokers monthly statements
    3. Schedules attached to tax filings
    4. Signed letters from Brokers giving all the info that would be on a confirmation slip
